ARTICLE I – NAME
The name of this organization shall be Graceland West Community Association, a corporation organized under the General Not For Profit Corporation Act of the State of Illinois, operating in the North West Portion of that area known as Lakeview, in the City of Chicago, State of Illinois.
ARTICLE II – PURPOSE
It shall be the purpose of this organization to:
- encourage a sense of community and develop a neighborhood spirit.
- provide an open forum to discuss community matters and their resolution.
- provide a united effort in the securing of city and neighborhood services.
- develop and preserve an appreciation for the historical significance of the area.
- encourage preservation, restoration, and beautification of the neighborhood.
- promote an appreciation of the cultural diversity of the neighborhood.
- establish a means to provide for the welfare of the community.
ARTICLE III – MEMBERSHIP
Membership shall include people who are interested in accomplishing the purposes of the organization. These members shall include due-paying adults who shall have equal rights and privileges and who shall have one vote each in all matters put before the organization.
ARTICLE IV – REVENUE AND FINANCE
Revenue shall consist of membership dues, contributions and incidental income derived from the operation of the organization. The council shall be responsible for raising sufficient revenue to finance the programs of the organization. An audit shall be made by the council of the organization and presented to the full membership at least once a year. The financial records shall be open for inspection by any member at any general membership meeting.
ARTICLE V – STRUCTURE
SECTION I
The organizational structure shall consist of a council of nine (9) members elected by the membership at large.
The council shall be responsible for conducting monthly meetings, handling all business affairs, reporting to the membership, organizing programs, coordinating association efforts and maintaining the welfare of the community.
SECTION II
A nominating committee appointed and approved by the general membership shall present the names of candidates for election to the council every six (6) months commencing with the adoption of these by-laws. The council members shall assume their duties following the election. SECTION III
The terms of office shall be for eighteen (19) months with one-third of the council being elected every six (6) months.
The term of the initial council members shall be eighteen (18) months for three (3), twelve(12) months for three (3), and six (6) months for three (3) to be determined by agreement of the council.
SECTION IV
A special election may be held at any membership meeting to fill vacancies on the council.
SECTION V
Block Representatives shall serve as a means of communication between the residents of the blocks and the organization as a whole. each block shall provide for its block representative.
ARTICLE IV – COMMITTEES
Committees comprised of general members shall have such powers and duties as are necessary to efficiently discharge their purposes. These committee are to be responsible and subject to the advice of the council.
ARTICLE VII – MEETINGS
SECTION I
Meetings of the membership shall be held not less than four (4) times a fiscal year at a time and place designated by the council. All members shall be notified of all meetings.
SECTION II
A special meeting may be called upon request of the council or by a petition signed by fifteen (15) members.
SECTION III
For all purposes, except as otherwise provided in these by-laws, the acts of the majority of the members present shall, at any meeting where there is a quorum of fifteen (15) present, be the decision of this organization.
SECTION IV
All matters not governed by these by-laws shall be determined by the most recently revised editions of Roberts Rules of Order.
ARTICLE VIII – AMENDMENTS
These by-laws may be amended at any meeting of the membership of this organization by an affirmative vote of two-thirds of the members present, provided that the proposed amendment has been sent in writing with the notice of the meeting.
